Does your LLC’s Sunbiz record show INACTIVE? Check the complete record before paying or forming another company. The reason matters: this guide covers reinstatement of an administratively dissolved or revoked entity, particularly after a missed annual report.
Sunbiz accepted card payments for the 2026 annual report through September 25 at 5 p.m. May 1 was the deadline to avoid the $400 late fee. Your next step now depends on the status shown in your record.
1. Make sure you found your company
Use the official Sunbiz name search and select the matching entity. Compare its document number, address and principals: similar names can refer to different businesses.
Record the status, date and reason for the latest change. Review filed documents and the last annual report year. If the record shows voluntary dissolution, a merger or another reason, do not assume this reinstatement procedure applies.
2. Understand the filing
Reinstatement returns an administratively dissolved or revoked entity to active status. An annual report updates the business registry; it is not an income tax return or financial statement. This filing is also separate from renewing a local business license.
3. Gather your information first
- Sunbiz document number and legal business name.
- Business FEIN/EIN, where applicable; do not enter a Social Security number in that field.
- An email you monitor and current addresses.
- Principal and registered-agent details, including a physical Florida address for the agent.
- Payment method and authority to sign.
Compare the entries with your records before submitting. The official instructions explain required fields and signatures. You cannot change the business name through this application; that requires a separate filing.
4. Check the amount in the official form
The published LLC fee is $100 for reinstatement plus $138.75 for each outstanding report year. One outstanding year would total $238.75 before optional services. Confirm the actual amount in the application; this example is not a quote for every business.
For-profit corporations have different fees. Do not confuse the reinstatement fee with the annual-report late fee assessed while an entity remains active.
5. Submit, save and verify
Start at the official File Reinstatement page, read the instructions and proceed to the state application. Review before signing and paying. Keep the confirmation and check the entity record again to confirm the update posted.
“A filing is in the queue” means Sunbiz received the application and has not processed it yet. A business dissolved for more than one year may need a name-availability check. A payment receipt alone is not a promise of an approval date.
